Governance & Underwriting Protocol

AseanPrimer does not replace professional judgment. It makes the state of the evidence, the resulting regulatory uncertainty, and the downstream underwriting consequences explicit so that professional judgment can act on them.

1. How is the underwriting process governed?

AseanPrimer applies a structured underwriting framework that evaluates transaction-specific regulatory conditions against documentary evidence. Rather than treating compliance as a binary checklist, the process tracks the relationship between facts, regulatory applicability, evidence quality, and underwriting consequences.

We publish the methodology because transparency is part of the underwriting standard. The value is not in hiding the method; it is in applying it consistently to transaction-specific evidence, testing conflicts, documenting judgment, and producing a decision-ready underwriting record.

2. How is transaction information handled?

The workflow uses a phased approach to information handling designed to limit unnecessary exposure of confidential transaction material:

  • Initial Screening: Conducted using public information and non-confidential transaction parameters. No confidential target documents are required.
  • Documentary Review: Conducted under agreed engagement terms and the document-access arrangements established for the engagement.
  • Sensitive Material: Data minimization and anonymization are encouraged where appropriate. Any sharing of sensitive documents or extracts should follow the agreed handling arrangements and applicable confidentiality obligations.

3. How does professional judgment remain in the process?

AseanPrimer structures the evidence and analytical consequences of regulatory issues. It does not convert an unresolved issue into an unsupported underwriting conclusion.

Where evidence is incomplete or conflicting, the relevant uncertainty remains visible in the underwriting record. Transaction teams and their advisers can then determine the appropriate legal, financial, tax, technical, or transaction response.

4. How are evidence and underwriting states documented?

Each dossier records the relationship between documentary evidence, regulatory applicability, and underwriting consequences using defined states.

Evidence State
VERIFIED MISSING CONFLICT NOT REQUIRED
Underwriting State
CREDITED CONDITIONAL BLOCKED
Financial Exposure
CREDITED NOT CREDITED UNQUANTIFIED

These states are distinct and are not automatic legal conclusions. An evidence state does not mechanically determine the underwriting state or financial credit. The assessment depends on the applicable regulatory conditions, the evidence available, and the relevance of the affected assumption to the transaction.

UNQUANTIFIED means that the relevant financial exposure has not yet been quantified on a sufficiently supported basis; it does not mean that no exposure exists.

5. How does the output enter the transaction process?

The workflow is designed to surface transaction-critical evidence gaps and unresolved dependencies early in the diligence process. Where identified gaps or conflicts warrant further documentary support, AseanPrimer prepares targeted Requests for Information (RFIs).

Where a regulatory dependency remains unresolved, the affected financial assumption is assessed under the relevant underwriting state rather than receiving credit by default.

Potential transaction responses, including conditions precedent, escrow, remediation, indemnity, or price adjustment, may be identified for consideration with transaction counsel and the relevant financial team.

Delivery timing and scope depend on transaction complexity, document volume, and evidence depth.
