Professional Use, Scope & Limitations
1. Nature of Business & Specialization
AseanPrimer provides regulatory intelligence, documentary evidence analysis, and transaction-underwriting research for cross-border transactions in Southeast Asia.
Unless expressly established by applicable registration or law, AseanPrimer does not hold itself out as a licensed law firm, investment adviser, broker-dealer, financial adviser, tax adviser, accounting firm, or statutory auditor.
The scope of any engagement is defined by the agreed services, jurisdictional coverage, available evidence, and applicable engagement terms.
2. Purpose & Limitations of the Analysis
AseanPrimer's research, memoranda, dossiers, source materials, underwriting matrices, and insight pages are intended to support regulatory assessment and transaction-underwriting decisions.
They do not replace formal legal, tax, accounting, audit, investment, or valuation advice from appropriately qualified professionals. They are not, by themselves, a fairness opinion, a recommendation to enter into or complete a transaction, or a substitute for the buyer's independent investment decision.
Any conclusions or potential transaction responses should be assessed in the context of the relevant transaction and reviewed with the appropriate professional advisers.
3. Information Accuracy & Regulatory Limitations
AseanPrimer distinguishes between source identification, source verification, evidence sufficiency, and transaction-specific regulatory applicability.
Despite these procedures, information may be incomplete, amended, superseded, or subject to differing interpretations. The conclusions available from a particular assessment are limited by its agreed scope, the evidence provided or obtained, the applicable reference date, and the assumptions stated in the relevant deliverable.
Unless expressly agreed otherwise in writing, materials are provided for the stated analytical purpose and on an informational basis. Users remain responsible for obtaining appropriate professional advice and independently assessing the suitability of the analysis for their transaction.
4. Professional Review & Advisory Integration
Where a transaction requires jurisdiction-specific legal, tax, accounting, technical, regulatory, or valuation advice, users should consult appropriately qualified professionals.
AseanPrimer's outputs are designed to structure the evidence, identify unresolved questions, and support professional review. They do not replace transaction counsel, specialist advisers, formal opinions, or the responsibilities of the relevant transaction decision-makers.
5. Intellectual Property & Permitted Use
Unless otherwise agreed in writing, AseanPrimer retains its rights in its underlying methodologies, research frameworks, templates, source compilations, and analytical materials, subject to applicable law and third-party rights.
Deliverables prepared for a client may be used for that client's internal transaction assessment and underwriting purposes. They may be shared with the client's affiliates, investment committee, and professional advisers where reasonably necessary for the relevant transaction, subject to applicable confidentiality obligations and the agreed engagement terms.
Public distribution, resale, publication, unauthorized redistribution, or commercial reuse of AseanPrimer materials outside the agreed purpose requires prior written permission, unless otherwise permitted by applicable law or the engagement terms.
Nothing in this notice excludes or limits any liability or obligation that cannot lawfully be excluded or limited. The terms governing a specific engagement, including its scope, permitted use, and applicable responsibilities, should be set out in the relevant written agreement.
